Seller & Creator Agreement

1. Seller Eligibility

Sellers must provide accurate information and must be legally able to enter into agreements and receive marketplace payouts.

Sellers who are under the age of legal majority where they live may only use seller features with the involvement and authorization of a parent or legal guardian and when permitted by Stripe and applicable law.

Sellers may be required to complete identity, tax, banking, or business verification before receiving payouts.

2. Listing Credits

His Kingdom Table does not require sellers to pay a monthly subscription fee. Instead, sellers may purchase prepaid listing credits to publish digital resources in the marketplace.

One listing credit is required when a new resource is published for the first time. Once that resource has been published using a listing credit, the seller may unpublish and republish the same resource without using another credit.

Unused listing credits do not expire. Sellers may purchase additional credits whenever needed and use their available credits at their own pace.

Listing-credit bundle prices are displayed before purchase. Listing credits are separate from the marketplace commission charged when a resource is sold.

Listing-credit purchases are generally final and nonrefundable. Exceptions may be made when required by applicable law or to correct duplicate charges, billing errors, or credits that were not delivered as purchased.

3. Marketplace Commission

His Kingdom Table currently charges a marketplace commission equal to twenty-five percent (25%) of each completed resource sale.

The seller share is currently seventy-five percent (75%) of the sale amount before applicable payment-processing fees, refunds, chargebacks, taxes, adjustments, or other amounts that may apply.

His Kingdom Table may change listing-credit prices or marketplace commission rates in the future. Material pricing changes will be disclosed before they apply to future listing-credit purchases or resource sales, as required by applicable law.

4. Stripe Connect and Seller Payouts

His Kingdom Table uses Stripe Connect to onboard sellers, process marketplace transactions, and distribute seller payouts.

Sellers must maintain an eligible Stripe connected account and complete any verification required by Stripe in order to receive payouts.

Stripe may request identity, banking, tax, business, or other information and may delay, restrict, or pause payouts when required for verification, compliance, fraud prevention, disputes, reserves, or other payment-related reasons.

His Kingdom Table does not control the timing of every bank transfer or payout after funds have been released through Stripe.

5. Seller Responsibility for Listings

Sellers are responsible for the accuracy, legality, quality, and content of every resource and listing they publish.

Each listing should accurately describe the resource being sold, including its intended use, file type, contents, and any limitations that would reasonably matter to a buyer.

Sellers may not intentionally use misleading descriptions, preview images, pricing, titles, keywords, or other information.

6. Ownership and Intellectual Property

Sellers retain ownership of intellectual property rights they hold in their original resources.

Sellers may only upload or sell material that they created or that they have sufficient legal rights and permissions to use and sell.

Sellers may not upload or sell content that unlawfully copies or infringes another person's copyright, trademark, artwork, photographs, writing, curriculum, worksheets, illustrations, fonts, graphics, characters, or other protected material.

By publishing a listing, the seller grants His Kingdom Table a limited license to host, store, display, reproduce for technical delivery, promote, and make the listing and resource available as reasonably necessary to operate the marketplace.

7. Prohibited Products and Activity

Sellers may not use His Kingdom Table for products, services, or activities that violate applicable law, Stripe requirements, the His Kingdom Table Terms of Use, or marketplace policies.

Prohibited activity includes, but is not limited to:

• Fraudulent, deceptive, or misleading listings.
• Stolen or unlawfully copied digital products.
• Malware, harmful files, or malicious software.
• Products the seller does not have permission to sell.
• Illegal products, services, or transactions.
• Attempts to evade marketplace fees or payment systems.
• Products or businesses prohibited or restricted by Stripe when His Kingdom Table or Stripe determines they are not eligible.

His Kingdom Table may review sellers and listings to help ensure compliance with marketplace and payment requirements.

8. Christian and Educational Marketplace Standards

His Kingdom Table is designed primarily for Christian, educational, homeschool, Bible study, devotional, ministry, classroom, and related digital resources.

His Kingdom Table may remove or decline listings that are materially outside the marketplace's intended purpose, violate marketplace rules, create legal or payment risk, or otherwise are not appropriate for the platform.

9. Refunds

Buyer refund requests are governed by the His Kingdom Table Digital Product Refund Policy and applicable law.

Sellers authorize His Kingdom Table to issue appropriate buyer refunds when reasonably necessary under marketplace policies, payment requirements, or applicable law.

When a buyer receives a refund for a seller's resource, the related seller earnings may be reversed, deducted, withheld, or offset against current or future seller balances to the extent permitted by law and payment-provider rules.

10. Chargebacks and Payment Disputes

Buyers may sometimes dispute marketplace transactions through their bank, card issuer, or payment provider.

Sellers agree to reasonably cooperate with His Kingdom Table when information is needed to respond to a dispute, including information about the resource, listing, delivery, buyer access, or seller communications.

If a chargeback, payment dispute, refund, payment reversal, fee, or related loss is associated with a seller's transaction, His Kingdom Table may recover the applicable amount from seller earnings, future payouts, or other seller balances when permitted by law and payment-provider rules.

11. Reserves and Withholding of Funds

His Kingdom Table or Stripe may delay, hold, reserve, or withhold seller funds when reasonably necessary to address refunds, chargebacks, suspected fraud, payment disputes, legal obligations, account verification, negative balances, or other financial risk.

Any withholding or reserve will be handled in accordance with applicable law and payment-provider requirements.

12. Seller Taxes

Sellers are responsible for determining and meeting their own income tax, business registration, licensing, reporting, and other legal or financial obligations associated with their marketplace earnings.

Stripe or His Kingdom Table may request tax information or provide tax documentation when required by law.

Marketplace sales tax, VAT, or similar transaction taxes may be handled according to applicable law and the services used by His Kingdom Table.

13. Customer Support

Sellers should provide accurate product information and reasonably cooperate when His Kingdom Table contacts them about a buyer concern, resource issue, payment problem, refund request, or marketplace investigation.

His Kingdom Table may communicate directly with buyers regarding marketplace purchases, refunds, payment issues, downloads, account access, and other support matters.

14. Payment and Risk Inquiries

His Kingdom Table may provide sellers with instructions or requirements relating to payment risk, fraud prevention, disputes, account verification, prohibited activity, or remediation.

Sellers agree to reasonably cooperate with legitimate payment, compliance, and risk-management requests.

15. Seller Account Suspension or Removal

His Kingdom Table may suspend seller privileges, remove listings, pause payouts when permitted, or terminate seller access when reasonably necessary to:

• Address violations of these Seller Terms.
• Respond to fraud or security concerns.
• Protect buyers or other users.
• Respond to copyright or intellectual-property complaints.
• Comply with Stripe or payment-network requirements.
• Comply with legal or regulatory obligations.
• Address repeated buyer complaints or materially misleading listings.

16. Listing Credits and Resource Management

Sellers may publish new digital resources using their available listing credits. One credit is deducted when a resource is published for the first time.

Sellers may unpublish a resource and republish that same resource later without using an additional listing credit. Unpublishing removes the resource from the public marketplace but does not cancel purchases already completed.

If a seller removes a resource that has previously been purchased, His Kingdom Table may archive the resource to preserve access for existing buyers. Resources that have never been purchased may be permanently deleted when removed.

Unused listing credits do not expire. The ability to publish resources remains subject to this Agreement and any applicable account restrictions.

If a seller temporarily deactivates their account, any unused listing credits will remain associated with that account and will not expire. The seller may access those credits again if the account is reactivated and the seller remains eligible to use the marketplace.

17. Relationship Between Sellers and His Kingdom Table

Sellers are independent marketplace participants. Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency relationship, franchise, or other similar relationship between a seller and His Kingdom Table.

Sellers are responsible for how they create and operate their own independent business or creative activity.

18. Changes to Seller Fees or Terms

His Kingdom Table may update this Agreement, listing-credit bundle prices, marketplace commission rates, or seller policies as the marketplace grows or as payment, legal, business, or operational requirements change.

Material changes will be communicated or disclosed when appropriate, and the "Last updated" date will be revised.

19. Additional Agreements

Sellers are also subject to the His Kingdom Table Terms of Use, Privacy Policy, Digital Product Refund Policy, and any applicable Stripe or Stripe Connect agreements.

If marketplace-specific seller rules are introduced in the future, those rules may also become part of the seller's obligations after appropriate notice.
